The Services are owned and operated by Digital Professionals Academy sagl ("Digital Professionals Academy," "EnglishFluencyOnline," "we," "us," or "our").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

  • pronunciation, listening, speaking, grammar, and vocabulary support;
  • live or recorded training sessions;
  • downloadable resources and practice materials;
  • community features, messaging, and learning support.

We may update, improve, modify, replace, suspend, or remove any part of the Services at any time where reasonably necessary for business, technical, legal, quality, or security reasons.

4. Educational purpose only

The Services are provided for educational and training purposes only.

We do not guarantee that any user will achieve a particular fluency level, exam result, professional outcome, or learning result within any specific period of time. Progress depends on multiple factors, including your starting level, consistency, participation, effort, learning habits, and practical use of the material.

Nothing in the Services constitutes academic accreditation, professional certification, legal advice, medical advice, psychological support, or any other regulated professional service.

5. Your account

To access certain features, you may need to create an account.

You are responsible for:

  • maintaining the confidentiality of your login credentials;
  • all activity that occurs under your account;
  • ensuring that your account details remain accurate and up to date.

You may not share your account with others unless a specific plan expressly permits shared use. We reserve the right to suspend or terminate accounts that are shared, misused, accessed fraudulently, or used in breach of these Terms.

6. AI-powered features

Some parts of the Services may include artificial intelligence tools, including but not limited to AI coaching, speech analysis, feedback, corrections, simulated conversations, recommendations, or chatbot interactions.

By using these features, you acknowledge and agree that:

  • AI-generated responses may not always be accurate, complete, or appropriate;
  • AI feedback is provided for general educational support only;
  • you remain responsible for evaluating and using any output generated by AI tools;
  • we do not guarantee that AI-generated output will be error-free, uninterrupted, or suitable for every situation.

AI tools are intended to support practice and learning, not to replace human judgment.

7. Payments

Some Services are offered for a one-time fee, while others are offered on a recurring subscription basis.

By purchasing any paid Service, you agree to pay all fees shown at checkout, together with any applicable taxes, charges, or currency conversion costs.

Payments are processed through third-party payment providers. We do not store full payment card details ourselves unless expressly stated otherwise.

8. Subscriptions and automatic renewal

If you purchase a subscription, membership, or other recurring plan:

  • your subscription will renew automatically at the end of each billing period unless cancelled before the renewal date;
  • you authorize us and our payment processors to charge the payment method on file for recurring fees;
  • it is your responsibility to manage your subscription and cancel it in time if you do not wish it to renew.

Unless otherwise stated at the point of sale, subscription fees are billed in advance and are non-refundable once a billing cycle has started.

We may change subscription pricing from time to time. Any such change will apply prospectively, usually from the next renewal date, unless otherwise required by applicable law.

9. Refunds

Unless a specific offer expressly states otherwise in writing, purchases made through EnglishFluencyOnline are final and non-refundable.

Where a product, program, or promotion includes a specific refund policy, guarantee, trial period, or cooling-off arrangement, that policy applies only to that specific offer and only if all stated conditions are met.

We reserve the right to deny refund requests in cases including, without limitation:

  • failure to meet the stated conditions of a refund policy;
  • significant use or consumption of the product before requesting a refund;
  • abuse of refund rights;
  • misuse of the Services;
  • bad-faith conduct, including false claims, unauthorized chargebacks, or dishonest allegations relating to a valid purchase.

Nothing in these Terms excludes any mandatory consumer rights that apply under relevant law.

10. Promotional offers, bonuses, and trials

We may from time to time offer discounts, bonuses, free trials, introductory access, or limited-time promotions.

Such offers may be subject to additional conditions, including eligibility requirements, deadlines, usage limits, automatic conversion into a paid subscription, or cancellation rules. Where specific promotional terms apply, those terms govern that offer in addition to these Terms.

11. Acceptable use

You agree to use the Services lawfully, respectfully, and only for their intended purpose.

You must not:

  • violate any applicable law or regulation;
  • infringe the rights of any third party;
  • copy, reproduce, distribute, sell, sublicense, or commercially exploit any part of the Services without our prior written consent;
  • share paid content beyond the scope of your license;
  • attempt to reverse engineer, decompile, extract source code from, or interfere with the operation of the Services;

12. User content

You may submit content through the Services, including written responses, voice recordings, messages, comments, assignments, community posts, and other materials ("User Content").

You retain ownership of your User Content. However, by submitting it, you grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, analyze, adapt, and use that content to the extent reasonably necessary to:

  • provide and operate the Services;
  • personalize learning experiences;
  • deliver feedback and coaching;
  • maintain safety, moderation, and support;
  • troubleshoot technical issues;
  • improve our products and features.

You represent and warrant that you have the necessary rights to submit your User Content and that it does not violate any law or any third party's rights.

13. Intellectual property

All rights, title, and interest in and to the Services, including all course materials, videos, text, graphics, exercises, frameworks, branding, designs, software, AI workflows, prompts, recordings, and downloadable materials, are owned by or licensed to Digital Professionals Academy sagl and are protected by intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal learning purposes or other permitted internal use consistent with the product purchased.

You may not, without our prior written permission:

  • reproduce, republish, distribute, transmit, sell, or exploit any part of the Services;
  • modify or create derivative works from our content;
  • remove copyright, trademark, or proprietary notices;
  • use our trademarks, brand assets, course names, or product names in a way that suggests endorsement or affiliation.

14. Community and conduct standards

Where the Services include group spaces, communities, comments, chat, or interactive participation, you agree to behave respectfully and constructively.

We may remove content or restrict access where conduct is abusive, disruptive, misleading, aggressive, manipulative, spam-like, promotional without authorization, or otherwise inconsistent with the purpose of the Services.

The Services may include integrations with or links to third-party services, such as payment providers, meeting platforms, analytics tools, communication tools, app stores, or AI infrastructure providers.

We are not responsible for the content, availability, security, policies, or performance of third-party services. Your use of such services is governed by their own terms and privacy policies.

16. Availability of the Services

We aim to keep the Services accessible and functioning properly. However, we do not guarantee uninterrupted or error-free access.

Access may be affected by maintenance, technical issues, updates, third-party failures, internet outages, force majeure events, or security incidents.

We may temporarily or permanently suspend, withdraw, or modify any aspect of the Services at our discretion where reasonably necessary.

17. Suspension and termination

We may suspend, restrict, or terminate your access to all or part of the Services at any time if:

  • you breach these Terms;
  • we reasonably suspect fraud, misuse, unauthorized access, or abusive conduct;
  • required by law, regulation, or court order;
  • continued access creates legal, reputational, technical, or commercial risk.

You may stop using the Services at any time. Termination does not affect any accrued rights, outstanding payment obligations, or provisions that by their nature should survive termination.

To the fullest extent permitted by law, the Services are provided on an "as is" and "as available" basis.

We make no warranties, express or implied, regarding:

  • uninterrupted availability;
  • accuracy, completeness, or reliability;
  • fitness for a particular purpose;
  • error-free operation;
  • learning outcomes, business outcomes, or personal results.

Your use of the Services is at your own risk.

19. Limitation of liability

To the fullest extent permitted by applicable law, Digital Professionals Academy sagl and its directors, officers, employees, contractors, licensors, partners, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive loss or damage, including any loss of profits, revenue, opportunity, goodwill, data, or anticipated savings arising out of or in connection with the use of, or inability to use, the Services.

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Services shall not exceed the amount paid by you to us for the relevant Service during the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot be lawfully excluded or limited.

23. Governing law and jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Switzerland, excluding conflict of laws principles.

The courts of Lugano, Canton Ticino shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Services, unless mandatory law provides otherwise.

24. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.

25. Entire agreement
